YCloud Affiliate Cooperation Agreement

Effective upon electronic acceptance (by ticking the checkbox on the registration page).

1. Acceptance of Agreement

By registering for the YCloud Affiliate Program ("Program"), you ("Affiliate") agree to comply with this Affiliate Cooperation Agreement ("Agreement"). If you do not accept these terms in full, you must not proceed with registration.

2. Scope of Authorization

2.1 Territory: The authorization granted under this Agreement covers all territories worldwide.
2.2 Nature: The authorization granted to Affiliate is non-exclusive. YCloud reserves the right to market, promote, and sell its products and services directly or through other third parties at its sole discretion.
2.3 Content: Affiliate shall assist in referring potential customers to register as YCloud users. YCloud shall have the right, at its sole discretion, to conduct internal qualification reviews of referred customers and to unilaterally decide whether to provide products or services based on the results of such reviews.

3. Affiliate Obligations

3.1 YCloud reserves the right, at its sole discretion, to approve or reject any Affiliate application.
3.2 Affiliate must not use spam, misleading content, or unethical promotion methods.
3.3 Affiliate must accurately describe YCloud's products and services. False, exaggerated, or unauthorized statements are strictly prohibited.

4. Commission and Payment

4.1 You will earn commissions based on the actual subscription payments successfully received by YCloud from referred customers.
4.2 The commission calculation method and specific percentage shall be determined and adjusted by YCloud at its sole discretion according to actual business needs, and notified to you via your Affiliate account backend, the YCloud official website, or other reasonable methods.
4.3 Commissions will be calculated periodically and settled after verification. Payments are subject to a minimum payout threshold, and commissions may be withheld or canceled in cases of fraud, breach of this Agreement, or customer chargebacks.
4.4 You are required to provide accurate and up-to-date payment information, including but not limited to your payment account details, to facilitate the commission payment. Failure to provide the required information may result in YCloud delaying or suspending commission payments.

5. Confidentiality

Affiliate shall keep confidential all information obtained during participation in the Program, including but not limited to:
  • - YCloud’s business information, technical information, marketing strategies, and other related information;
  • - Customer information related to referred clients;
  • - Any other non-public information obtained through the cooperation relationship.
Affiliate shall not use such confidential information for any purpose other than fulfilling its obligations under this Agreement.
This confidentiality obligation shall remain effective during the term of this Agreement and survive its termination.

6. Intellectual Property

All YCloud trademarks, materials, content, and technology are owned by or licensed to YCloud and are protected by applicable intellectual property laws.

7. Amendments and Termination

7.1 YCloud may amend this Agreement at any time, at its sole discretion. Continued participation in the Program constitutes your acceptance of the revised Agreement.
7.2 Either party may terminate this Agreement at any time.

8. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Singapore. Any dispute arising out of or in connection with this Agreement shall be submitted to arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its Arbitration Rules. The seat of arbitration shall be Singapore, and the language shall be English.
